Binance invested about $100 million in Circle and signed a five-year agreement to expand USD Coin (USDC) distribution, strengthening ties between the exchange and the stablecoin issuer.

The deal, announced Sept. 22, covers Binance’s purchase of 1,237,011 Circle Class A common shares at $80.84 each. The price represented a 5% discount to Circle’s market price before closing. Binance retains voting rights, while the shares face transfer restrictions lasting up to two years in most cases.

The new commercial agreement replaces deals signed in November 2024 and August 2025. Circle will pay Binance monthly incentives based on the amount of USDC held through Binance’s modular smart-contract wallet infrastructure. The payment rate was not disclosed, and Binance committed to promoting USDC on its platform.

The arrangement gives Binance both a distribution role and an equity stake in Circle. Circle’s second-quarter 2026 reserve income was about $668 million, or 95.2% of total revenue and reserve income of roughly $701 million. Distribution and transaction costs reached about $410 million during the quarter.

The companies are also expanding technical integration. Binance opened USDC deposits on Circle’s Arc network after the network entered its public mainnet on Sept. 16.
