Animoca Brands has paused reverse-merger talks with Currenc Group, delaying its planned Nasdaq listing as the companies reassess the deal’s timeline and changing market conditions.

The companies determined that completing the merger would take longer than fits their short- and medium-term objectives. No new listing date was provided.

Yat Siu, Animoca Brands’ co-founder and executive chairman, said, “Corporate agility must take precedence over merger procedures.” The company said it will continue evaluating the best route to a public listing while advancing audit work required for compliance with major public exchanges.

The proposed transaction, announced in November 2025, would have used an Australian scheme of arrangement for Singapore-based fintech company Currenc Group to acquire Animoca. Existing Animoca shareholders were expected to hold 95% of the combined company.

Animoca released its audited fiscal 2023 financial statements in July and is preparing its fiscal 2024 audit. The company has not withdrawn its broader goal of returning to public markets, but the suspended transaction removes its current path to Nasdaq.
