Anthropic is seeking shareholder approval for a governance structure that would give its seven founders 50.1% of voting power, allowing them to retain control after a potential initial public offering.

The proposed arrangement would create a special class of shares for the founders. It would increase their influence over corporate decisions without giving them additional economic rights, according to the proposal.

The structure would remain in place only if at least three of the seven founders continued to hold a minimum amount of company stock. The founders currently hold about 2% each, while the proposal would increase their collective voting power rather than their ownership of the company’s economic interests.

A long-term benefit trust would continue to elect most of Anthropic’s board members. The number of board seats reserved for founders would increase from two to three, and employees would receive shares that could break ties on some matters.

Anthropic has filed confidential paperwork for a potential IPO, but the proposed listing remains subject to the company’s process and market conditions. The governance plan would give the founding group a central role in the company’s direction after it enters public markets.
