CleanSpark closed a $2.276 billion senior secured notes offering to finance data-center construction, while retaining 13,530 Bitcoin (BTC) after September sales.

The notes, issued by subsidiary CSDC Finance I, LLC, carry a 7.875% interest rate and mature in 2031. The offering closed Sept. 25 at 4:48 p.m. ET (20:48 UTC).

The proceeds are designated for construction connected to a lease expected to generate approximately $6.6 billion in contracted revenue over its initial term. CleanSpark is expanding beyond Bitcoin mining infrastructure into broader digital infrastructure and data-center development.

As of Sept. 30, the company held 13,530 BTC, including 3,475 BTC posted as collateral or receivable in derivative transactions. It sold two BTC at spot prices and 700 BTC through call exercises during September, for a total of 702 BTC at an average price of $72,928 per coin.

CleanSpark also had 1.8 gigawatts of power under contract and 808 megawatts of utilized capacity at the end of September.
