> Stephen H. Rusckowski purchased the shares for approximately $3.48 million as Oracle reported strong cloud growth, negative free cash flow and plans for $40 billion in fiscal 2027 financing.

Oracle director Stephen H. Rusckowski purchased 25,000 shares through his living trust for approximately $3.48 million as the company reported rapid cloud growth alongside heavy infrastructure spending and additional financing plans.

The purchase occurred Sept. 29 at a weighted-average price of $139.352 per share and was disclosed in a Form 4 dated Oct. 1. The transactions ranged from $138.96 to $139.74, leaving the trust with 25,390 Oracle shares.

The estimated value is calculated from the reported share count and average price. The Form 4 records the transaction as a purchase and does not indicate that it was made under a Rule 10b5-1 trading plan. It does not establish illegal insider trading or show that Oracle shares are undervalued.

Rusckowski previously served as chief executive officer and president of Quest Diagnostics.

Oracle’s fiscal 2027 first-quarter revenue rose 30% from a year earlier to $19.3 billion for the quarter ended Aug. 31, 2026. Total cloud revenue increased 62% to $11.6 billion, while cloud infrastructure revenue climbed 121% to $7.4 billion.

Remaining performance obligations rose $209 billion from a year earlier to $664 billion. Oracle also booked more than $30 billion in additional artificial intelligence cloud contracts during the quarter.

The expansion required substantial capital. Oracle generated $23 billion in operating cash flow but posted negative $5 billion in free cash flow during the quarter. For fiscal 2026, the company recorded negative $23.7 billion in free cash flow, raised $43 billion through debt financing and secured $5 billion in equity financing.

Oracle expects to raise approximately $40 billion through debt and equity financing in fiscal 2027. That plan includes a previously announced $20 billion at-the-market equity issuance, while the company’s new contracts are not expected to have an incremental impact on its capital-raising plans.
