Prime Intellect is acquiring Moondream to add open-source visual AI and inference software to its infrastructure stack, targeting faster and less expensive AI workloads on NVIDIA hardware.

Moondream has fewer than 10 employees and raised $4.5 million before the acquisition. Its products include open-source vision-language models, fine-tuning tools and Photon, an inference engine designed for hardware ranging from data-center GPUs to NVIDIA Jetson devices.

Moondream’s optimization work includes software that automatically generates “megakernels,” which combine multiple GPU operations to reduce idle time during inference. Inference runs a trained model to produce an answer or interpret new input, making speed and computing costs important for robotics and computer-use agents.

Moondream has more than 5 million monthly downloads. Moondream records median latency of 59 milliseconds for a direct-answer query on an NVIDIA H100 in a February 2026 benchmark. The listed products include Moondream 3.1, Photon and Lens.

Prime Intellect, based in San Francisco, was founded in January 2024. The company announced a $130 million Series A on July 8, 2026, bringing its total funding above $150 million. Prime Intellect reported annualized revenue above $100 million in July 2026.

Prime Intellect is building an open infrastructure stack spanning compute, training, deployment and inference. The deal would add Moondream’s visual AI and inference software to that stack, with a focus on improving the cost and speed of open models.

The acquisition price, deal structure, closing date and integration plans were not disclosed.
