> AURELIUS-affiliated buyers may terminate the deal, while discussions with Hain and its lenders continue.

The Hain Celestial Group’s shares fell sharply Thursday after the company disclosed it missed a credit-amendment deadline tied to the planned sale of most of its international business to AURELIUS.

The sale agreement allows AURELIUS-affiliated buyers to terminate if the credit condition is not met. Hain has not announced a termination, and discussions with AURELIUS and its lenders continue.

The required amendment would have extended the credit agreement’s Dec. 22 maturity by at least nine months. Hain and its lenders did not complete it by the Oct. 12 deadline.

The estimated gross sale price is $323.2 million. Hain estimates net cash proceeds of $305 million to $310 million after transaction expenses and taxes, including cash to be distributed before closing. The company plans to use the net proceeds to reduce debt.

The transaction covers entities operating most of Hain’s International business in the United Kingdom, Ireland and Europe, including Ella’s Kitchen, Joya, Natumi, Hartley’s, Cully & Sully, Yorkshire Provender and New Covent Garden. Closing also requires regulatory clearances in the United Kingdom, Austria, Ireland, Germany and Belgium. Hain initially expected the deal to close in its fiscal second quarter, ending Dec. 31, and has not provided an updated timetable.
