> The tender offer expired Oct. 15, with 68.43% of ACV's outstanding shares tendered. ACV will continue as a wholly owned Copart subsidiary under its existing leadership.

Copart completed its acquisition of ACV Auctions Inc. on Oct. 16, bringing a dealer-to-dealer digital vehicle marketplace and inspection tools into the vehicle remarketing company.

The $10.50-per-share cash tender offer expired at 5 p.m. ET (21:00 UTC) on Oct. 15. By then, 116,818,409 ACV shares, about 68.43% of its outstanding stock, had been validly tendered and not withdrawn. Copart accepted those shares for payment before completing the merger the next day.

Remaining shares converted into the right to receive $10.50 in cash per share, subject to applicable withholding taxes. Certain holders who perfected appraisal rights were excepted from that conversion. ACV shares ceased trading on the New York Stock Exchange, and the company continues as a wholly owned Copart subsidiary under its existing leadership team.

Separately, Copart shares closed higher on Oct. 16. The companies announced the agreement Sept. 10 at an implied equity value of about $1.9 billion. ACV's marketplace supports wholesale vehicle sales between dealers and includes inspection technology, vehicle-condition data and valuation tools. Copart's operations include salvage disposition and international resale.

Copart CEO Jay Adair called the acquisition “an important milestone for Copart.” At the time of the announcement, Copart projected the deal would be neutral to earnings per share in its first full year of ownership and accretive in fiscal 2028 and beyond.
