> The proposed transaction could generate about $246 million in gross proceeds before costs if TCGX public shareholders do not redeem their shares.

TriGemX Bio and TCGX Acquisition Corp. announced a definitive business combination agreement Oct. 19 that would take the migraine drug developer public at a projected $600 million equity value.

The combined company is expected to be named TriGemX Bio, Inc. and trade on Nasdaq under the ticker TGEM. The projected equity value assumes that none of TCGX’s public shareholders redeem their shares before closing.

Under the same assumption, the proposed transaction is expected to generate about $246 million in gross proceeds before costs. That includes roughly $86 million in TCGX’s trust account and $160 million from a private investment in public equity priced at $10 per share. The equity value estimates the total value of the combined company’s shares; gross proceeds measure the cash expected before transaction costs.

TCGX is a special purpose acquisition company. It placed $86.25 million in its trust account after an Aug. 6 initial public offering. Redemptions by its public shareholders would affect the trust cash available when the deal closes.

Named investors in the private financing include TCGX, Viking Global Investors, ADAR1 Capital Management, BVF Partners, Samsara BioCapital and Vianti Capital. TriGemX Bio shareholders would receive no cash from the transaction and would roll all their equity into the combined company.

If the deal closes, the combined company expects to use net proceeds to complete ongoing Phase 3 trials of elismetrep for acute migraine, submit a New Drug Application and conduct a migraine prevention trial using a different dose and formulation. It also expects to prepare for a potential U.S. launch.

“TriGemX will be positioned to fully fund the Phase 3 development of elismetrep,” TriGemX Bio CEO Jeff Goater said.

Elismetrep is an investigational oral drug that blocks TRPM8 channels. It has not been approved by the Food and Drug Administration (FDA) or another regulator. Results from its first Phase 3 trial are anticipated in mid-2027.

Both companies’ boards have approved the proposed combination. Shareholder approvals and other closing conditions remain, and the companies expect the transaction to close in the first quarter of 2027.
