> The Nasdaq-listed machinery maker expects the offering to close around Oct. 20. The number of shares available through Series C warrants will depend on a price-based adjustment.

INLIF Limited priced a registered direct offering expected to raise about $3.75 million before expenses, with three warrant series that could lead to further issuance of its Nasdaq-listed shares.

The company agreed to sell 435,000 Class A ordinary shares and pre-funded warrants covering up to 1,908,750 shares to institutional investors. Each share or pre-funded warrant comes with Series A, Series B and Series C warrants.

A share and its accompanying warrants cost $1.60. A pre-funded warrant and its accompanying warrants cost $1.5999.

The Series A warrants initially cover 2,343,750 shares at an exercise price of $1.60 per share. They expire five years after the offering closes.

The Series B warrants are immediately exercisable at $1.60 per unit and initially cover 2,343,750 units. Each unit consists of one Class A ordinary share, or a pre-funded warrant in its place, plus one Series A warrant. The Series B warrants expire 60 days after issuance. Both Series A and Series B have a one-time downward exercise-price reset tied to the 20th trading day after closing.

Series C warrants permit purchases of additional shares at $0.0001 each. Their share count will be set through a price-based adjustment over the first 10 trading days beginning on issuance.

INLIF makes manipulator arms for injection molding machines through its operations in China. Its shares trade on Nasdaq under INLF, and Maxim Group LLC is the sole placement agent. The offering is expected to close around Oct. 20, subject to customary conditions.
