Meta plans to give holders of its Class A and Class B shares one publicly traded, nonvoting Class C share for each share they own, adding a new listed class without adding votes.

Meta’s board approved the new class, and shareholders approved the related charter amendments by written consent. The changes are scheduled to take effect Jan. 19, 2027.

The company will make the distribution as a one-time stock dividend. Each existing Class A or Class B share qualifies for one Class C share, and the board has not set the record date or distribution date.

The nonvoting C shares will trade publicly as a separate class. The distribution adds a new share to eligible holdings while keeping the new class outside shareholder voting.

Meta also signed a founder-alignment agreement with its chief executive. It covers sales of the Class C shares he receives, his continued employment and future distributions tied to the new class.

The board must still set the dates that determine which shares qualify and when the new shares will be distributed.
