> The conditional 90-day standstill limits specified Avondale activity, which may resume if stock-price and trading-volume conditions are met.

CXApp Inc. announced Oct. 22 that its board authorized up to $1 million in common-stock repurchases and that it had entered a conditional 90-day standstill agreement with Avondale Capital. The authorization sets a limit for potential buybacks, while the standstill restricts specified activity under Avondale financing instruments.

CXApp may make repurchases over time through open-market transactions or other legally permitted methods. Any purchases are subject to market conditions, financing arrangements and management’s discretion.

The standstill restricts certain Avondale purchases and conversion-related activity. Those activities may resume if specified stock-price and trading-volume conditions are met. A resumption could result in CXApp issuing additional shares, diluting existing holders.

Chairman and CEO Khurram Sheikh said the company has “a clear target of achieving positive operating cash flow by Q3 2027.” CXApp posted an $8.620 million net loss in the June 2026 quarter. Its operating cash outflow totaled $4.455 million in the first half of 2026.

A securities purchase agreement dated March 27, 2026, allowed CXApp to issue up to $40 million in prepaid purchase agreements in tranches. At June 30, 2026, CXApp had about $33.7 million of capacity left under the agreement.
