> The Chicago-based bank had $9.899 billion in assets at Sept. 30; management plans to keep assets below $10 billion through year-end.

Byline Bancorp expects fourth-quarter 2026 net interest income of $103 million to $105 million while managing its balance sheet to stay below $10 billion in assets through year-end, Executive Vice President and Chief Financial Officer Thomas J. Bell said Friday, Oct. 23.

The Chicago-based bank holding company’s forecast is near its third-quarter net interest income of $103.676 million. That was up 2.8% from $100.836 million in the second quarter. Net interest margin reached 4.33% in the third quarter, an increase of five basis points from the prior quarter.

Byline had $9.898780 billion in assets at Sept. 30, down $33.7 million, or 0.3%, from June 30. The quarter-end total was about $101 million below the $10 billion threshold. Bell said the bank had been cautious about bond purchases to avoid exceeding that level and expects its approach to change in the first quarter of 2027.

The threshold is tied to a Federal Reserve exemption from debit-card interchange standards. The exemption covers issuers with less than $10 billion in assets, including affiliates, with eligibility measured using assets at the end of the preceding calendar year. Issuers that no longer qualify must meet the relevant standards no later than July 1 of the following year.

Byline expects to exceed $10 billion in assets in 2027 and anticipates a related Durbin Amendment impact in the second half of 2028. That timing is the company’s forecast; the Federal Reserve rule sets a compliance deadline based on when an issuer loses the exemption.

Byline anticipates closing its pending Illinois State Bancorp deal during the first three months of 2027, subject to approvals. The company projects the combined firm would have about $10.5 billion in assets at closing.
