> The package includes $22.5 billion in Class A stock and a planned $60 billion at-the-market program that could start in early 2027.

Meta outlined equity financing of as much as $95 billion for artificial intelligence, combining a roughly $35 billion offering now underway with a separate stock-sale program that could begin in 2027.

On Monday, Oct. 26, Meta launched two public offerings: $22.5 billion of Class A common stock through a forward-sale agreement and 250 million depositary shares tied to mandatory convertible preferred stock. The convertible offering is valued at about $12.5 billion, bringing the current round to roughly $35 billion.

A separate plan would let Meta sell as much as $60 billion in Class C shares over time, with sales potentially starting in the first quarter of 2027. The company has not signed an agreement for that at-the-market program, and its timing, terms and final size remain undetermined.

Meta said the financing would support AI infrastructure and its Personal Superintelligence strategy while giving it added flexibility for capital spending. The scale comes as Meta reported negative free cash flow of $2.12 billion for the third quarter and forecast 2026 capital expenditures of $135 billion to $145 billion.

Meta shares were down 0.65% at $638.46 in premarket trading Monday, compared with the previous close of $642.62.
