> The nonbinding interest concerns part of a roughly $35 billion offering. Meta has not disclosed how any purchases would be divided among the three companies.

Meta disclosed Monday, Oct. 26, that Nvidia, Advanced Micro Devices (AMD) and Broadcom have indicated interest in buying up to a combined $5 billion of its Class A common stock. The nonbinding interest concerns part of a roughly $35 billion offering, and Meta has not disclosed how a potential purchase might be divided among the companies.

The concurrent offerings include $22.5 billion in Class A shares and about $12.5 billion in depositary shares tied to mandatory convertible preferred stock. Meta is offering 250 million depositary shares, each representing a one-twentieth interest in a Series A mandatory convertible preferred share.

The potential purchases are not commitments. The three companies may buy more shares, fewer shares or none, while underwriters also may allocate more shares, fewer shares or none. The offering terms do not assign a portion of the indicated interest to any particular company.

Meta is offering the Class A shares through forward sale agreements with Morgan Stanley and Goldman Sachs. It does not expect to receive proceeds initially and plans to settle the agreements on dates it selects no later than Nov. 19, 2027.

Meta expects 2026 capital spending of $135 billion to $145 billion, including principal payments on finance leases. The forecast covers its AI efforts and core business. The company described its financing approach as a “balanced mix of operating cash flow, investment-grade debt, strategic partnerships, and equity capital.”

The three potential buyers also have commercial relationships with Meta. The company has announced long-term AI infrastructure partnerships with Nvidia and AMD, while Broadcom’s extended partnership supports Meta’s custom MTIA chips. Meta has not said the potential stock purchases are tied to chip orders.

The current offerings are part of a [broader equity-funding plan](<https://www.tokenpost.com/news/business/41038>) that could also include a separate at-the-market program of up to $60 billion in nonvoting Class C shares. Meta expects the program to start in the first quarter of 2027, after Class C shares begin trading, but has not signed an agreement or determined its terms, size or timing. The current offerings and proposed program could total about $95 billion. Meta plans to settle the Class A forward sale agreements by Nov. 19, 2027, at the latest.
