> Directors approved the program Oct. 22, and it runs through Oct. 22, 2027. The authorization carries no purchase schedule or share count.

Northpointe Bancshares has authorized a program to repurchase up to $30 million in common stock, giving the Michigan-based bank holding company flexibility to return capital without committing to a share count.

Northpointe disclosed the decision Oct. 26 at 4:15 p.m. ET (20:15 UTC), four calendar days after directors approved it. The authorization runs through Oct. 22, 2027.

At an Oct. 21 earnings call, Executive Vice President and Chief Financial Officer Brad Howes said the company was still developing a plan. “We do not have a share repurchase plan today, but we are in the process of putting one together,” Howes said. Northpointe announced the authorization five days after those remarks.

The authorization does not require Northpointe to buy shares and may be extended, changed, suspended or ended at any time. It does not specify a share count or purchase schedule. Any future purchases would be shaped by the company’s finances, market conditions and share price, along with applicable regulatory and securities-law requirements.

Chairman and CEO Chuck Williams called the program “an additional tool to allocate capital prudently.” Northpointe Bancshares is based in Grand Rapids, Michigan, and is the holding company of Northpointe Bank.
