> The proposed financing combines $1 billion in dollar notes with a euro tranche worth about $500 million.

Bending Spoons announced Tuesday, Oct. 27, a proposed notes offering worth about $1.5 billion in combined dollar-equivalent value, with proceeds intended for future acquisitions and other corporate purposes.

The package pairs $1 billion in U.S. dollar-denominated notes with a euro tranche valued at about $500 million. Both series would mature in 2032. Bending Spoons US Inc., an indirect wholly owned subsidiary, would issue the dollar notes. Bending Spoons Operations S.p.A., also an indirect wholly owned subsidiary, would issue the euro notes. The parent company would not issue or guarantee either series.

Net proceeds would go toward future acquisitions, offering costs, fees, expenses, taxes and general corporate purposes. Miro is not listed as a use for this new borrowing; its all-cash acquisition had already closed when the note proposal was announced.

Interest rates, issue prices and other terms remain to be set at pricing. Market conditions could change the terms of the proposed sale or prevent it from going ahead. The euro notes are described by a dollar equivalent of about $500 million; the proposed amount does not state an exact euro principal.

The notes are being offered to investors reasonably believed to qualify as qualified institutional buyers under Rule 144A and to non-U.S. persons outside the United States under Regulation S.

Bending Spoons completed its all-cash acquisition of Miro on Monday, Oct. 26. On Oct. 2, it closed add-ons totaling $1.25 billion for its U.S. dollar term loan B facility and €395 million for its euro facility, both due in 2031. Proceeds from that earlier financing were intended to help fund the Miro acquisition, repay drawn euro revolving credit borrowings and support general corporate purposes.

The proposed notes would mature a year after those facilities. Unlike the completed loan add-ons, the new offering remains subject to market conditions, with pricing and final terms still pending.
