> The agreement pairs a $19.6 million share purchase with a $7 million cash investment and would give Gamehaus an expected 56% stake in Techforge.

Gamehaus Holdings Inc. agreed Nov. 2 to acquire a majority stake in Techforge Co. through a $26.6 million purchase and investment, expanding its push into AI-generated entertainment.

The agreement combines a $19.6 million purchase of 7,778 existing Techforge ordinary shares with a separate $7 million cash investment. Gamehaus will pay the sellers with about 24.5 million of its Class A ordinary shares, valued at $0.80 each. The sellers include an entity controlled by Gamehaus founder and chairman Feng Xie.

The cash investment would give Gamehaus 2,526 newly issued Techforge shares. After both steps, Gamehaus expects to own about 56% of Techforge. Shareholder approval is not required, and the transaction is expected to close in November 2026, subject to customary conditions.

Gamehaus intends to build Anamana into its main growth business and keep its gaming operations focused on generating cash and reaching profitability. Founded in 2025, Anamana is a micro-serial platform for producing and distributing serialized videos through its app, YouTube and TikTok.

The deal follows Gamehaus’ Aug. 12 shift toward AI-generated content, which included plans for content-generation tools and a creator ecosystem. Xie said, “We see an opportunity to apply the capabilities we have built in gaming to a broader range of AI-powered entertainment.”
