Goodman Group and Digital Realty have proposed spending about $499.7 million to acquire up to 9.9% of NextDC, an Australian data center operator, at a 45.5% premium to its Nov. 4 closing price.

JPMorgan is leading the proposal. Goodman and Digital Realty said they have no current intention of pursuing a takeover or seeking control of NextDC.

NextDC shares have fallen 45% this year. A delay tied to a power-grid upgrade at its M3 project in Melbourne led to contract revenue being deferred.
