> The parties did not agree to extend the agreement. Subscription receipt proceeds will be returned, and nDatalyze will seek approval to resume trading on the Canadian Securities Exchange.

nDatalyze Corp. terminated its proposed reverse takeover with Prism Diversified Ltd. after the companies failed to close by Oct. 31, leaving the planned combination and related financing undone.

The agreement was dated May 15 and amended Sept. 1; the parties did not agree to extend it. Conditions for releasing the subscription receipts from escrow were not met by the deadline. The receipts will be canceled, funds held by Odyssey Trust Company returned to subscribers, and nDatalyze shares will not be issued through the financing.

Shareholders approved a spinout and name change at an Oct. 2 special meeting, but both steps depended on the proposed takeover and will not proceed. nDatalyze will apply to the Canadian Securities Exchange (CSE) to resume trading in its common shares, which have been halted since the proposed reverse takeover was announced. Any resumption is subject to CSE review and approval.

The proposed transaction would have combined nDatalyze, a health and performance technology company using artificial intelligence and biometric data analytics, with Alberta-based mine-to-metals producer Prism. nDatalyze President Jim Durward said, “Epitome has always been the Company's main asset and we intend to move forward with its commercialization, whether private or public.”
