> Datavault flagged prior financial statements for non-reliance and listed three issued WiSA patents plus 10 applications with Notices of Allowance.

Datavault AI Inc. shares fell 47.29% to $0.07 on Tuesday, Oct. 27, after the company disclosed an accounting warning and new milestones for its WiSA wireless-audio portfolio. The stock closed at $0.1328 in the previous session.

Datavault said its audit committee and management determined on Oct. 20 that investors should no longer rely on previously issued financial statements. The warning applies to the third quarter and first nine months of 2025, full-year 2025, the first quarter of 2026, and the second quarter and first half of 2026.

The company’s preliminary estimates put the reductions in total assets at $8.1 million as of Sept. 30, 2025; $92.2 million as of Dec. 31, 2025; $57.1 million as of March 31, 2026; and $49 million as of June 30, 2026. The estimates are unaudited and may change. Datavault has not set a date to file restated statements.

Datavault said Bitcoin (BTC) intended as payment for Scilex’s $150 million purchase of Datavault common shares and a pre-funded warrant cannot be recognized as a company digital asset. The company also said a June request to withdraw Bitcoin from its Biconomy wallet to an external account had not been completed.

Management is reassessing its going-concern analysis because Bitcoin will no longer be presented as an asset and collection from Scilex is uncertain. The effect of the restatement on that analysis has not been determined.

The WiSA announcement counted 13 U.S. patent milestones: three issued patents and 10 applications that received Notices of Allowance. The issued patents cover audio-source localization, concealing discontinuities in audio blocks, and multi-speaker speech processing. The 10 applications are expected to lead to additional patents once applicable requirements are met.

Datavault describes the portfolio as addressing wireless-audio transmission and synchronization, speaker identification and localization, error concealment, interoperability, and device pairing. The company lists televisions, soundbars, home theater systems, wireless speakers, smart-home devices, gaming, and professional audio as potential applications.

CEO Nathaniel T. Bradley said, “These 13 milestones give us a broader, more mature body of intellectual property.” Datavault identified licensing, partnerships, and standards work as potential opportunities, but announced no new licensing agreement or revenue tied to the milestones.
