# XTI Aerospace Investors Face Oct. 27 Lead-Plaintiff Deadline

Investors who acquired XTI Aerospace securities during a proposed class period have until Oct. 27, 2026, to seek lead-plaintiff status in a lawsuit tied to an internal review and a delayed quarterly filing.

The action is docketed as Noalan v. XTI Aerospace Inc. et al. and was filed Aug. 28 in Manhattan federal court. It names XTI Aerospace, former chairman and CEO Scott Pomeroy, and Brooke Turk as defendants.

The proposed class covers investors who purchased or acquired XTI securities from April 15 through Aug. 17, 2026.

XTI said it could not timely submit its Form 10-Q for the quarter ended June 30 because it was completing an internal review involving Pomeroy and related corporate-governance matters. The company said an independent-director committee was conducting the review and that no completion timeline had been set.

Pomeroy resigned as chairman, CEO and director effective Aug. 17. XTI disclosed a $200,000 separation payment and immediate vesting of options to purchase 2 million shares. The board appointed Jeremy Schneiderman as interim CEO.

The complaint alleges that XTI and certain executives violated Sections 10(b) and 20(a) of the Securities Exchange Act and Rule 10b-5 through alleged misstatements and omissions involving executive activities, the board review and disclosure controls.

XTI said it did not currently believe the matters under review would affect previously issued financial statements, while the review’s implications for disclosures, certifications, controls and governance remained under evaluation.

The allegations have not been proven in court. Seeking lead-plaintiff status is optional and does not determine whether an investor may later participate in any recovery. The Oct. 27 deadline is the next step for investors seeking to lead the case.
