House Oversight Committee Chairman James Comer is seeking Delaware records on a proposed AI-managed corporate structure, warning that it could reduce accountability for AI companies and their investors.

In an Oct. 26 letter to Gov. Matt Meyer, Comer requested records dating to Jan. 1, 2025. The list includes policy communications, internal AI chat logs, agreements with outside contributors, safety and liability records, and drafts and comments on AIC proposals. Comer said the material could inform possible federal legislation to limit state AI regulatory initiatives. The committee set Nov. 9 as Delaware’s response deadline.

A June 2 draft would establish an Artificial Intelligence Company, or AIC, in a 30-month regulatory sandbox that excludes banking. An AI agent would manage the company’s daily business. The entity could own property, take on obligations, and sue or be sued.

The draft separates an AIC’s debts from its member’s liabilities, but provides exceptions for inadequate capitalization, fraud and willful violations of law. It also says sandbox participants remain subject to state criminal and consumer-protection laws and are not immune from civil damages.

Delaware Secretary of State Charuni Patibanda-Sanchez and Norm Ai CEO John Nay described a proposed AIC in July as a public-private partnership led by Norm Ai. In their description, they assigned a single member responsibility for capitalization, activity logs and disclosures to counterparties. They wrote, “The liability shield exists only inside the sandbox, and only for participants that follow the rules.” Those duties are part of the July proposal description, separate from the June draft’s provisions.

The framework followed Delaware House Joint Resolution 7, signed July 23, 2025, which directed the state AI Commission and secretary of state to develop a sandbox framework. It did not create an AIC. The commission’s Dec. 22, 2025, annual report said a subcommittee was preparing a draft framework.

The proposed structure remains a draft. Delaware’s response to Comer’s records request is due Nov. 9.
