NextEra Energy and Dominion Energy submitted rebuttal testimony proposing additional financial and governance protections to Virginia regulators Nov. 3 as they seek approval for their planned combination.

The companies said they accepted 101 of 117 conditions proposed by commission staff and the Office of the Attorney General’s Division of Consumer Counsel as proposed. They accepted 13 more with modifications or enhancements. The Virginia State Corporation Commission has not ruled on the transaction, and the proposed conditions remain under review.

The companies said the measures would reinforce Dominion Energy Virginia’s financial separation from affiliates, expand independent oversight and increase Virginia representation on its board. They also said the protections would support the utility’s financial strength while preserving access to NextEra’s capital.

The filing preserves an existing Virginia benefits package. It includes four years of shareholder-funded residential bill credits, $100 million for EnergyShare assistance and weatherization, and another $100 million for workforce development. The package also includes up to $5 billion in spending with Virginia-based suppliers over five years and 1,000 planned new jobs. Of those jobs, 600 would be at NextEra and approximately 400 with suppliers and service providers. The proposed combination includes a commitment to maintain Dominion Energy’s current Virginia employee headcount for at least five years. The broader package includes a proposed Richmond office tower.

“Virginia should not have to choose between relief on electric bills today and affordable, reliable power tomorrow,” NextEra Chairman and CEO John Ketchum said.

NextEra has projected at least 9% annual adjusted earnings-per-share growth for the combined company through 2032, using 2025 as the base, and set the same growth target through 2035 in its [outlook for the proposed combination](<https://www.tokenpost.com/news/business/37629>).

Shareholders of both companies approved the combination on Sept. 3, 2026. State and federal reviews are continuing, and the transaction remains subject to regulatory approvals and customary closing conditions. The commission’s evidentiary hearing is scheduled to begin Nov. 17, 2026. The companies expect the deal to close in the second half of 2027.
