MoonPay Signs Deal to Acquire North Capital for More Than $60 Million

The all-stock transaction would make North Capital a wholly owned MoonPay subsidiary and add regulated brokerage, custody and clearing capabilities.

MoonPay has signed a definitive agreement to acquire North Capital Investment Technology in an all-stock transaction valued at more than $60 million, adding regulated U.S. brokerage and private-market infrastructure to its operations.

North Capital will become a wholly owned MoonPay subsidiary after the deal closes. Its capabilities include securities brokerage, investment advisory services, custody, escrow and clearing for private securities issuers, fund managers and institutional investors.

North Capital operates several entities registered with the U.S. Securities and Exchange Commission, including a broker-dealer, the PPEX alternative trading system, a transfer agent and an investment adviser. Its platform has facilitated more than $8.7 billion in primary and secondary transactions, while PPEX supports more than 1,250 approved assets for secondary trading.

The transaction has been approved unanimously by the boards of both companies. Closing remains subject to customary conditions and regulatory approvals.
