Anthropic Files Confidential SEC Registration Statement, IPO Timing Undisclosed
The company filed a draft S-1 on June 1 but has not set an offering size, share price, valuation, exchange or listing date.

Anthropic has not confirmed a November 2026 initial public offering after submitting a confidential registration statement that keeps a potential listing under review.
The company confidentially filed a draft registration statement on Form S-1 with the U.S. Securities and Exchange Commission (SEC) on June 1 for a proposed offering of common stock. The filing gives Anthropic the option to go public after the SEC completes its review, but it does not establish a listing date.
“The proposed initial public offering will depend on market conditions and other factors,” Anthropic said.
The company also said the number of shares and offering price had not been set as of June 1. The confidential filing has not publicly established the offering size, proceeds, valuation, exchange or timetable.
A November listing remains unconfirmed. Earlier expectations about the timing have varied, and neither a definitive date nor a public offering commitment has been disclosed.
Anthropic raised $65 billion in Series H funding on May 28 at a $965 billion post-money valuation. The company said its run-rate revenue had exceeded $47 billion earlier in May. The private financing valuation does not establish an IPO valuation or public-market price target.
Anthropic, which develops the Claude artificial-intelligence models, introduced Claude Opus 5.5 on Sept. 22. The company said the model performs at the level of Claude Fable 5.1 on most work and costs 40% less to run than Claude Opus 5.
Market expectations have previously placed Anthropic ahead of OpenAI in the race to announce or confirm an IPO. Those expectations do not establish that either company will proceed with a listing.
Krishna Rao, Anthropic’s chief financial officer, said Claude is “increasingly indispensable to our growing global community of customers.”
The next concrete step is the SEC’s review of Anthropic’s confidential filing. Any offering would still depend on that review, market conditions and other factors.
