Anthropic Confirms Confidential IPO Filing as Offering Terms Remain Undisclosed

The company has not set the number of shares or offering price, while its latest financing valued it at $965 billion.

Anthropic has entered the U.S. IPO review process with a confidential SEC filing, giving the artificial-intelligence company the option to go public while leaving the offering’s size, price and timing unsettled.

Anthropic submitted a draft Form S-1 registration statement to the U.S. Securities and Exchange Commission on June 1. The potential offering remains subject to SEC review, market conditions and other factors, and the number of shares and offering price have not been set.

A confidential S-1 is not a public IPO prospectus. Investors do not yet have public financial statements, a proposed share count, a price range or a listing date. The filing does not establish when a listing might occur.

The company’s latest disclosed financing provides a measure of its private-market scale. Anthropic raised $65 billion in Series H funding on May 28 at a $965 billion post-money valuation. Its run-rate revenue had exceeded $47 billion earlier in May.

The financing also expanded Anthropic’s access to computing capacity. Agreements cover up to five gigawatts of capacity from Amazon, five gigawatts of TPU capacity from Google and Broadcom, and GPU capacity from SpaceX.

A related cloud-computing agreement provides for Anthropic to pay $1.25 billion per month through May 2029, subject to its terms. The commitment illustrates the scale of the company’s computing requirements but does not establish its total infrastructure budget or annual loss.

Anthropic’s potential IPO would move forward only after the SEC review and any additional steps required for a public offering. The next decisive disclosure would be a public S-1 containing audited financial statements, risk factors, capital commitments and offering terms.
