Anthropic Files Confidential IPO Registration Statement With SEC
The Claude developer confidentially filed a draft IPO registration statement with the SEC on June 1, but timing, valuation and offering terms remain unsettled.

Anthropic is weighing an initial public offering before Thanksgiving at a potential valuation above $2 trillion, a move that could test investor demand for high-priced artificial-intelligence companies.
The Claude developer confidentially submitted a draft Form S-1 registration statement to the U.S. Securities and Exchange Commission on June 1. The filing gives Anthropic the option to go public after the SEC completes its review.
The company has not determined the number of shares or the offering price. The IPO would also depend on market conditions and other factors, leaving both the timing and potential valuation subject to change.
The confidential prospectus has not been publicly released. Anthropic has not confirmed the financial figures, infrastructure commitments or valuation target associated with the proposed offering.
A potential valuation above $2 trillion would more than double Anthropic’s $965 billion private-market valuation from May. A listing before Thanksgiving remains possible, while a later debut after the November U.S. midterm elections has also been considered.
