Evernorth Delays Expected Nasdaq Debut to Oct. 12 After Merger Shift

The company now expects its merger with Armada Acquisition Corp. II to close Oct. 9, subject to customary conditions and Nasdaq listing requirements.

Evernorth has pushed its expected Nasdaq debut to Oct. 12 after moving the anticipated closing of its merger with Armada Acquisition Corp. II to Oct. 9, extending the wait for public-market access to its planned XRP treasury.

The revised dates are estimates. The closing remains subject to customary conditions, and trading depends on Nasdaq listing requirements. The Oct. 6 update described the delay as administrative and said it was not expected to affect the closing.

The earlier schedule called for the merger to close Oct. 7, with trading under the ticker XRPN expected to start Oct. 8. Armada II shareholders approved the proposed combination at a Sept. 30 meeting.

Evernorth plans to become a publicly traded digital asset treasury through the merger. At closing, it expects to hold about 473 million XRP and receive about $300 million in gross cash proceeds before expenses. Those figures are projections, not confirmed closing totals.

The revised schedule follows Evernorth’s earlier announcement that it expected an Oct. 8 Nasdaq debut after the merger vote. The next stated milestone is the expected Oct. 9 closing; the planned trading start is Oct. 12, if the required conditions are met.
