Aegon Shareholders Approve Delaware Move and 50 Million-Share Plan

The approval supports Aegon’s planned redomiciliation from Bermuda to Delaware and consolidates its equity incentive programs.

Aegon shareholders approved proposals supporting the company’s planned move from Bermuda to Delaware and the consolidation of its equity incentive programs at an extraordinary general meeting on Oct. 8, 2026. The meeting was scheduled for 10 a.m. EDT (14:00 UTC).

The redomiciliation would preserve Aegon’s legal personality while changing its jurisdiction of incorporation. The company would eventually be renamed Transamerica Inc., relocate its headquarters to New York and report under U.S. GAAP.

Aegon expects to repurchase Vereniging Aegon’s outstanding Common Shares B on Oct. 15 and exchange them for common shares at a 40-to-1 ratio, subject to completion of the required steps. Vereniging Aegon is expected to become Vereniging Aegon Americas and retain approximately 18.4% of Aegon.

The transaction would establish a single class of common stock with equal voting rights and remove Vereniging Aegon’s special voting structure. A newly established Stichting Aegon Fonds Nederland will continue Vereniging Aegon’s charitable activities in the Netherlands.

The approved Omnibus Incentive Plan authorizes the issuance of 50 million shares, representing 2.8% of shares outstanding. The authorization is intended to cover at least three years of grants.

The plan combines existing equity and long-term incentive programs. It includes performance-based awards, minimum vesting requirements and clawback provisions.

The redomiciliation is intended to strengthen Aegon’s focus on U.S. life insurance and retirement services. The company’s next step is the expected Common Shares B repurchase and exchange on Oct. 15, subject to the required steps being completed.
