NFT Ltd. Prices $1 Million Registered Direct Offering
The offering covers 1 million units priced at $1 each, with closing expected Oct. 9 subject to customary conditions.

NFT Ltd. priced a registered direct offering expected to raise approximately $1 million in gross proceeds, with the financing aimed at supporting its digital-artwork platform and other corporate initiatives.
The offering covers 1 million units sold to institutional investors at an effective price of $1 per unit. Each unit includes one Class A ordinary share, or a pre-funded warrant in place of the share, and one common warrant.
Pre-funded units are priced at $0.96, reflecting the $0.04 exercise price of each pre-funded warrant. The common warrants are immediately exercisable at $1 per ordinary share and expire five years after issuance.
Net proceeds are planned for NFT Ltd.’s NFT artwork trading platform, an AI robotics project, working capital and general corporate purposes. Maxim Group LLC is the sole placement agent.
The offering was expected to close Oct. 9, subject to customary closing conditions. The securities are being offered under NFT Ltd.’s Form F-3 shelf registration statement, File No. 333-284912, which the Securities and Exchange Commission declared effective on Nov. 28, 2025.
NFT Ltd. describes itself as an online platform for offering and trading digital artwork. The company has also said it is exploring NFT gaming, AI computing and humanoid robotics initiatives.
Its shares trade on the NYSE American under the ticker MI. NFT Ltd. completed a separate registered direct offering in March that generated approximately $2.77 million in gross proceeds and approximately $2.58 million after fees.
