Moonshot AI CEO Yang Zhilin and CTO Zhang Yutao are involved in an arbitration dispute with former Recurrent AI investors as the company pursues a planned Hong Kong IPO.

The arbitration was filed with the Hong Kong International Arbitration Centre. Five former investors, including GSR Ventures China, challenged Yang’s departure from Recurrent AI and his subsequent launch of Moonshot AI.

The former investors allege misconduct tied to Moonshot’s founding and are seeking additional equity compensation. A potential claim exceeding $700 million is based on an earlier Moonshot valuation of $30 billion. The estimate is not a confirmed liability or judgment.

Yang has said Recurrent AI’s board approved his departure and his pursuit of new ventures. In a February 2025 update, the arbitration tribunal had been formed, while Yang’s offer to relinquish some shares had not met the investors’ expectations.

Any settlement could involve cash, new shares or equity transfers. Those terms would affect Moonshot’s ownership structure and the number of shares available to public investors.

The planned Hong Kong listing is targeted for the first quarter of 2027, subject to regulatory approval and market conditions. Potential proceeds have been placed at approximately $3 billion to $5 billion. A potential financing round has also been associated with an approximately $50 billion valuation, although completion of that round has not been established.

The company released its Kimi K3 model in July 2026. The planned offering follows Moonshot AI’s potential $50 billion IPO, which remains subject to change.

GSR Ventures China managing director Allen Zhu Xiaohu alleged that Yang had “uncleared liability” when he launched Moonshot AI. Moonshot said it “doesn’t comment on market rumours or speculation.”
