Omron Corporation has agreed to acquire Interlogic, Inc., the Vermont-based parent of industrial-computer maker OnLogic, Inc., for $675 million in cash as it expands its manufacturing-site digital transformation and physical AI operations.

The transaction values Interlogic on a debt-free, cash-free enterprise-value basis. Omron plans to fund it primarily with existing cash and will take full ownership of Interlogic, which will become a consolidated subsidiary after closing.

The deal is structured as a reverse triangular merger involving a Delaware special-purpose company, with Interlogic remaining the surviving entity. Completion is expected in or around January 2027, subject to regulatory approvals and other conditions in the definitive agreement.

Omron plans to combine OnLogic’s industrial PCs with its sensing, robotics and high-precision control technologies. The combination is intended to support physical AI platforms and solutions for digital transformation at manufacturing sites.

OnLogic designs, develops, manufactures and sells industrial computers. Established in 2003, the company had 301 employees across seven locations, including two manufacturing sites, as of March 24, 2026. More than 90% of its sales come from the Americas and Europe.

Interlogic group net sales reached $154.2 million for the year ended Dec. 31, 2025. EBITDA was $22.6 million, while adjusted EBITDA was $27.1 million.

OnLogic is expected to continue operating independently within Omron’s group while retaining its brand, direct-to-customer sales model and management team, including CEO Sean Larkin. The sellers include founders Lisa Groeneveld and Roeland Groeneveld, along with 167 officer and employee shareholders.

Omron expects the acquisition to have an immaterial effect on its consolidated results for the fiscal year ending March 2027. Omron has not provided specific revenue, cost-savings or deployment targets for the combined physical AI business.

The transaction remains pending until the required approvals and other closing conditions are satisfied.
