Beam Global Agrees to Acquire ScoutDI for $24 Million Base Price
The deal would add industrial drone inspection and software to Beam Global’s energy and infrastructure business, with a potential 2026 earn-out of up to $3.8 million.

Beam Global agreed to acquire ScoutDI AS for a $24 million base price, expanding the U.S. company’s infrastructure business into industrial drone inspection and software for oil and gas and maritime customers.
The purchase price consists of 90% cash and 10% Beam Global common stock. Sellers may choose additional shares instead of cash, subject to a Nasdaq share limit, while 15% of the base price will remain in escrow for 18 months.
The agreement also includes a potential 2026 earn-out tied to ScoutDI’s revenue. No earn-out would be payable if revenue falls below $3.5 million. The target earn-out is $2.4 million, while the maximum is $3.8 million if revenue reaches $4.5 million.
“ScoutDI already has an established global drone and software business with impressive margins and recurring revenues,” Beam Global CEO Desmond Wheatley said.
Beam develops products for energy storage, electric-vehicle charging, energy security and smart cities. Adding ScoutDI would give the company exposure to inspection systems and related software used by industrial and maritime customers.
For the quarter ended June 30, 2026, Beam Global’s revenue rose 21% year over year to $8.562 million from $7.075 million. Beam Europe also announced approximately $4 million in smart-city infrastructure orders during the third quarter, although those orders do not represent recognized revenue.
The acquisition remains subject to closing conditions, including Beam receiving financial statements needed for SEC reporting and the absence of a material adverse effect. The agreement may be terminated if the transaction has not closed by Nov. 4, 2026, unless both companies agree to extend the deadline.
