Cipher Digital Plans Up To $1 Billion For AI Data Centers
The proposed financing includes $850 million of zero-coupon convertible senior notes due in 2032 and a $150 million purchase option.

Cipher Digital plans to raise up to $1 billion through convertible-note financing to expand its AI data-center capacity and fund construction tied to the Barber Lake project.
The company plans to offer $850 million of zero-coupon convertible senior notes to qualified institutional investors. The notes are scheduled to mature on Nov. 1, 2032, and investors would have an option to purchase an additional $150 million, bringing the potential total to $1 billion.
Cipher Digital intends to use the proceeds for investment in Barber Lake, high-performance computing data-center construction and site expansion. The company has extended the Barber Lake project’s contract term to 20 years, raising its cumulative contracted revenue to more than $9 billion.
The financing remains pending and has not yet been completed.
