Kimberly-Clark received conditional European Union approval for its planned $40 billion acquisition of Kenvue, after offering to divest tampon and other feminine hygiene brands tied to competition concerns.

The European Commission raised concerns about competition in those product categories. Kimberly-Clark’s proposed divestitures are intended to address the concerns and secure approval for the transaction.

The approval covers the proposed acquisition and remains conditional on the offered remedies.
