Sakuu, a developer of battery electrode manufacturing technology, and Pyrophyte Acquisition Corp. II have agreed to combine in a proposed transaction that values Sakuu at $600 million before new financing. The proposed combination would give Sakuu a route to public markets through Pyrophyte, a special purpose acquisition company.

The agreement, signed Oct. 14 and announced Oct. 15, calls for Sakuu equityholders to receive 60 million shares valued at $10 each. At that per-share value, the shares represent $600 million in consideration. The valuation is not a stated cash raise.

Sakuu’s obligation to close depends in part on at least $30 million in net closing cash. The calculation includes SPAC trust funds available after shareholder redemptions and amounts from PIPE or company financing, minus specified expenses and debt.

The agreement calls for the parties to use reasonable best efforts to arrange PIPE and/or company financing, but it does not specify the final financing amount or committed PIPE proceeds. An illustrative scenario models $50 million in PIPE and SPAC trust investment, net of redemptions, at $10 per share.

The transaction remains subject to approval by shareholders of both companies and other closing conditions. Either party may terminate the agreement if the merger has not closed by May 31, 2027. That is a termination deadline, not a stated target closing date; the agreement gives no separate expected closing date.

The announced plan expects Pyrophyte to be renamed Sakuu Corporation and the combined company to list on the New York Stock Exchange under SAKU. The merger agreement allows the name Sakuu Holdings, Inc. or another mutually agreed name and permits a listing on either the NYSE or Nasdaq.

Sakuu develops the Kavian platform for dry-process battery electrode manufacturing, with applications also described for supercapacitor electrodes. Commercial availability is anticipated in the second quarter of 2027. Planned uses of proceeds include platform development, commercialization and purchase-order fulfillment.

The proposed deal is Sakuu’s second announced SPAC transaction. Its earlier agreement with Plum Acquisition Corp. I, announced in 2023 at an enterprise value of about $705 million, was terminated effective June 14, 2023.
