Tron Inc. has established a stock-sale program of up to $200 million, creating a potential source of capital for additional TRON (TRX) purchases as the Nasdaq-listed company expands its crypto holdings.

Under an agreement dated Oct. 14, Clear Street LLC may sell Tron shares as the company’s agent or buy shares as principal under separately agreed terms. For sales made as agent, Clear Street’s commission can reach 3% of gross proceeds. The program sets a maximum amount available for sale; Tron has not guaranteed that it will sell shares or raise the full amount.

Tron plans to use net proceeds mainly to acquire more TRX. Other stated uses include working capital, general corporate purposes and possible investments in technologies, products or businesses. The prospectus lists no current commitments for those investments.

The filing uses $1.22 per share, the stock’s closing price on Oct. 13, as an assumption for estimating the offering’s potential size. At that price, a $200 million sale would involve about 163.9 million shares. Tron’s share count would rise from 474.4 million to about 638.4 million, excluding shares tied to certain warrants and options. The prospectus warns that additional share sales could dilute existing shareholders.

The authorization does not mean Tron will complete a sale or issue the estimated number of shares. Its structure gives the company a potential equity-financing channel for its stated TRX purchase plan. Strategy also maintains a $21 billion at-the-market program for potential Bitcoin purchases, a separate example of a crypto treasury company using an equity program to retain access to capital.
