Vistance Networks approved a one-time cash distribution of $1.50 per common share, lifting its special distributions for 2026 to $16.50 per share and setting a Nov. 6 payment date.

Shareholders listed at the close of business Oct. 26 qualify for the payment. Vistance plans to draw on cash it has on hand, including money received when it sold the Ruckus Networks business July 1.

Nov. 9 will be the ex-dividend date. Because the payout is at least one-quarter of the value of Vistance’s common stock, Nasdaq Rule 11140(b)(2) sets that date for the first business day after payment. The three dates for the distribution are Oct. 26 for shareholder eligibility, Nov. 6 for payment and Nov. 9 for the ex-dividend date.

The $16.50 total includes two earlier special distributions this year: $10 per share payable April 27 and $5 per share payable Aug. 27. The newly approved $1.50 adds to those payments. Vistance also has an ongoing share repurchase program.

“This distribution, together with the other special distributions this year and our ongoing share repurchase program, reflects our commitment to returning capital to shareholders,” said Chuck Treadway, Vistance Networks’ president and CEO.

For U.S. federal income tax purposes, Vistance currently expects the payment to be treated first as a return of capital, up to a shareholder’s tax basis, and then as capital gain. Amounts attributable to current or accumulated earnings and profits would be classified as dividends. The company’s expected treatment could change.

Vistance expects to submit IRS Form 8937 no later than 45 days after payment, and may update the filing once its tax treatment is final.
