AIBotics, Inc. closed a Jamaica asset purchase that adds NovaCore Labs mapping and drone equipment to its operations, with up to $3 million in additional preferred shares tied to revenue over four years.

The Oct. 14 closing gave PlayJamaica Limited 22,500 AIBotics Series B preferred shares with an aggregate stated value of $225,000. PlayJamaica can receive four further stock awards of $750,000 each as cumulative gross revenue reaches $500,000, $1.5 million, $3 million and $5 million within four years of closing. Each threshold triggers a separate award; all four are needed for the full $3 million.

The assets include six drones, three generators, a Google Street View camera system, a 2014 Suzuki Swift mapping vehicle, software, operating methods and the NovaCore Labs name. AIBotics also assumed about $35,000 in liabilities tied to the drones and generators.

PlayJamaica retained its esports, event production, creative services, simulator and virtual reality businesses. The completed transaction covers specified NovaCore assets rather than all of PlayJamaica’s operations.

AIBotics signed the purchase agreement on Oct. 12 and closed the deal two days later. In October 2025, it had outlined a broader plan to acquire NovaCore Labs before the end of that year. The final transaction identifies the assets transferred from PlayJamaica.

NovaCore had previously offered virtual tours integrated with Google Street View. AIBotics plans to expand AI and LiDAR mapping and commercial drone services in Jamaica using the acquired operations.

“NovaCore represents an important step in AIBotics’ evolution into a broader international technology platform,” AIBotics CEO Ben Kaplan said.

AIBotics plans to prepare a budget for $1 million of capital deployment over 12 months, with funding intended to come from a Regulation A offering. Preparing that budget is the next planned step for the Jamaica operation.
