Tesla and SpaceX Committees Review Possible Merger With No Terms Reached

A hypothetical model puts the transaction at about $480 per Tesla share, a roughly 30% premium that would give Tesla holders 48% of the combined company.

Tesla and SpaceX have each formed a committee of independent directors to examine a possible merger, creating a formal review process for a deal that remains hypothetical.

Shareholders requested the reviews, but a merger is not certain.

RBC Capital Markets analyst Tom Narayan modeled a possible transaction at about $480 per Tesla share, an assumed price representing roughly a 30% premium in the scenario. Under that model, Tesla shareholders would own about 48% of the combined company. The estimate is not an agreed offer, and the committees have not reached terms.

Potential areas of cooperation include artificial intelligence, chipmaking, robotics and Starlink connectivity; any merger would require support from holders of 50% of all Tesla shares. Tesla is scheduled to report third-quarter results Wednesday.
