Evernorth Warrants Carry $18 Share-Price Test for Redemption
Full cash exercise of the covered warrants would bring Evernorth $132.2 million in gross proceeds. The company has not earmarked that money for XRP purchases.

Evernorth Holdings Inc. may redeem its public warrants if its stock clears a sustained $18 test, while full cash exercise would bring the XRP treasury company $132.2 million in gross proceeds.
The redemption test requires XRPN to trade above $18 for 20 of 30 consecutive trading days. As of Oct. 16, XRPN traded at $15.45 and the warrants at $4.16 each. Those prices alone do not establish whether the sustained trading test has been met.
The Oct. 19 warrant-share registration covers 11,499,992 Class A common shares issuable upon exercise of existing public warrants. Each warrant gives its holder the right to purchase one share for $11.50. The registered securities are Evernorth shares, not XRP, and registration does not mean holders have exercised their warrants.
The $18 redemption test and the $11.50 exercise price serve different purposes. The first governs when Evernorth may redeem the warrants; the second is the price a holder pays for a share through exercise. Evernorth would receive the full $132.2 million only if holders exercised all the covered warrants for cash. Registration alone brings in no proceeds.
Evernorth held approximately 473 million XRP when it completed its business combination on Oct. 9. The company uses XRP per share as a performance measure. Warrant exercise would add shares to that calculation without, by itself, adding XRP to the treasury. Evernorth expects to use any net proceeds for general corporate purposes and has not designated them for XRP purchases.
