SkyAI has sold all of its Solana (SOL) holdings while advancing a $201 million cash tender offer, and major shareholder Bastion Trading is pressing the board to improve the deal and answer for its oversight.

Bastion wants SkyAI to raise the offer price from $3 per share to at least $3.50 and let holders include all of their prepaid funding warrants, up from the current 95%. It also wants warrants held by related parties excluded from the offer.

The shareholder questioned directors’ oversight of both the SOL sale and the tender offer. Bastion said the board chair and other directors should resign or face a shareholder vote if they cannot show they met their accountability duties.

SkyAI has described the buyback as a way to optimize its capital structure and provide liquidity to shareholders. The company has not separately responded to Bastion’s latest concerns about board accountability and potential conflicts.
