Evernorth Holdings Inc. can issue up to 11,499,992 Class A shares through public warrant exercises after its registration amendment took effect Oct. 19, creating the potential for about $132.2 million in cash proceeds.

Each covered warrant gives its holder the right to buy one share for $11.50. Full cash exercise of all the warrants would produce the maximum amount. The number exercised to date, if any, and the cash raised are unspecified.

Evernorth expects any net proceeds to go toward general corporate needs. It has specified no amount for XRP purchases, so the potential proceeds do not represent a commitment to add to its holdings.

The share issuance would expand Evernorth’s existing share base. The company had 23,638,882 Class A shares outstanding as of Oct. 9, while its XRP holdings were about 473 million on that date. The number of shares issued would depend on how many holders exercise their warrants.

Evernorth’s shares and warrants began trading on Nasdaq on Oct. 12 under the symbols XRPN and XRPNW, respectively. The company’s public-market plans grew out of its XRP treasury strategy.

The SEC’s action made the registration amendment effective. The commission has not approved or disapproved the securities or assessed the prospectus’s accuracy or adequacy.
