Top Wealth Group Holding Limited approved a 1-for-100 reverse share consolidation, combining each 100 Class A and Class B ordinary shares into one as it addresses Nasdaq’s $1 minimum bid requirement. The move would be the company’s second share consolidation since July 2025.

Nasdaq’s October notice cited 30 business days when Top Wealth’s closing bid was below $1, from Aug. 20 through Oct. 1.

A shareholder vote in August 2026 authorized the board to choose the ratio and effective date for one or more consolidations. The authorization sets a cumulative range of 5-for-1 to 250-for-1. The company’s previous consolidation used a 1-for-90 ratio, with split-adjusted trading beginning July 21, 2025, under the TWG ticker.

Top Wealth has until March 31, 2027, to regain compliance. Nasdaq requires a closing bid price of at least $1 for 10 consecutive business days.
