Belgravia Hartford Capital Inc. (CSE: BLGV; OTCQB: BLGVF) began trading on a consolidated basis at the opening of trading Friday, Oct. 23, after every 10 outstanding common shares were combined into one. The effective date follows Belgravia’s earlier consolidation proposal. The shares retain their BLGV and BLGVF symbols and have new CUSIP 07785T300 and ISIN CA07785T3001.

Before the change, Belgravia estimated its outstanding share count would decline from 137,720,837 to approximately 13,772,083, subject to rounding. The board’s stated goals were to improve the company’s marketability and position it to raise funds for its business plan.

The consolidation terms call for shares held through brokers or other intermediaries to be adjusted automatically. Certificate holders will receive instructions from the transfer agent for exchanging their shares. Fractions below 0.5 share are canceled, while fractions of 0.5 share or more are rounded up to one whole share; warrant share amounts and exercise prices are to be adjusted proportionally under their terms.

The Canadian Securities Exchange scheduled open orders for cancellation at the close of business Oct. 22, ahead of consolidated trading. Belgravia focuses on technology and finance sectors of the Bitcoin (BTC) ecosystem, including cryptocurrency, artificial intelligence, media and digital streaming.
