United Rentals filed a shelf registration and a preliminary debt prospectus Friday, Oct. 23, with its subsidiary modeling a $2 billion note issue that would help repay $975 million in term-loan principal.

The shelf covers possible future sales of common and preferred stock and warrants by United Rentals. It also allows United Rentals (North America), Inc. to issue senior, senior subordinated or subordinated debt guaranteed by the parent company. The filing sets no dollar amount for any future sale.

A separate preliminary prospectus outlines senior notes with maturities in 2029, 2031 and 2036. Its capitalization model assumes $2 billion of notes issued at par; that is a model assumption, not a confirmed final offering size. The prospectus leaves the amount assigned to each series, interest rates and exact maturity dates blank.

The model estimates about $1.984 billion in net proceeds after roughly $16 million in underwriting discounts, commissions and fees. United Rentals plans to use part of the proceeds to repay in full $975 million in principal on its term loan. Other intended uses include general corporate purposes and reducing borrowing under its asset-based lending and accounts-receivable securitization facilities.

United Rentals had $14.671 billion in total debt as of Sept. 30. Its term loan had a carrying value of $969 million on that date, while the prospectus gives $975 million as the loan’s principal. The figures use different measures: carrying value reflects the amount recorded for the loan, while principal is the amount the company intends to repay.

A shelf registration provides a framework for one or more future securities sales. Specific terms are to be set out in later supplements; the preliminary filing does not establish the final offering size, note allocation, rates, pricing or completion.
