Anthropic IPO Filing Details 50.1% Voting Block for Seven Founders
Founder LLC would hold one Class F share, while Class A shareholders would have one vote per share but could not sway director elections.

Anthropic’s Oct. 26 IPO filing describes a previously proposed structure under which seven founders would control 50.1% of votes on stockholder matters, limiting public investors’ influence after a listing.
Anthropic filed to list on Nasdaq under the ticker ANT. Founder LLC would own one Class F share carrying 50.1% of the vote on general stockholder matters. The LLC’s members are CEO Dario Amodei, Daniela Amodei, Tom Brown, Jack Clark, Jared Kaplan, Sam McCandlish and Christopher Olah.
A majority of the seven members decides how Founder LLC casts its share, so four members could direct the full voting block. Class A shareholders would receive one vote per share, but their votes could not sway stockholder matters or director elections.
Anthropic says it believes the seven are “distinctly equipped to be stewards of our mission.” The prospectus sets out the arrangement previously described in Anthropic’s governance proposal.
