Alset AI Plans Private Placement of Up to 4 Million Units
The proposed $0.20-per-unit financing would raise $650,000 to $800,000, but the company did not specify a currency.

Alset AI Ventures Inc. plans to raise $650,000 to $800,000 through a private placement of 3.25 million to 4 million units, with proceeds intended for its portfolio companies and corporate needs. The company announced the proposed financing Monday, Oct. 26, but did not specify the currency for the stated amounts.
The units are priced at $0.20 apiece. Each would contain one common share and half of a warrant. Each whole warrant would let its holder buy one additional share for $0.30 during the 24 months after closing.
Alset expects the placement to close on or about Nov. 23, 2026, and may complete it in tranches. A first closing requires subscriptions of at least $650,000 and the company’s reasonable belief that available funds will meet its business objectives and liquidity needs for the next 12 months. The financing also requires regulatory approvals, including approval from the TSX Venture Exchange.
Alset plans to combine net proceeds with existing working capital to support portfolio companies, cover corporate operations and portfolio oversight, make selective new investments and maintain a working capital reserve. Eligible finders may receive cash fees of up to 7% of gross proceeds from purchasers they introduce, subject to securities laws and exchange approval where required.
The units are intended for residents of Canada outside Québec and other qualifying jurisdictions. The securities are not registered under the U.S. Securities Act and may not be offered or sold to U.S. persons without registration or an exemption. Alset cautioned that the placement may not close on the proposed terms or at all.
Alset is a publicly traded investment issuer focused on AI infrastructure, health care technology and enterprise adoption.
