The Oct. 27 agreement brings selected Vataga Drone designs and engineering staff into Swarmer’s autonomous-platform business, subject to closing.

The portfolio includes first-person-view drone airframe designs, initiation electronics, ground-control equipment, development tools and manufacturing documents. The agreement uses cash and equity, but Swarmer has not disclosed its value, the split between the two forms of payment or an expected closing date.

Once the transaction is complete, Vataga CEO Maksym Melnyk and 14 hardware R&D staff are expected to join Swarmer. Melnyk is expected to become vice president of hardware and report to Swarmer President and U.S. CEO Alex Fink. Vataga plans to continue as an independent manufacturer.

“Bringing battle-tested hardware capabilities in-house means we can create reliable full-stack solutions,” Fink said.

More than 100,000 Ukrainian drones had been supplied with Vataga’s VTG Spark initiation boards since the company was founded in 2023. More than 20 Ukrainian military units had fielded Vataga’s FPV-10 “Peacemaker” platform.

Swarmer’s software had supported more than 100,000 combat missions in Ukraine since April 2024. The companies did not announce a closing date for the agreement.
